1. Acceptance of Terms and Eligibility
Welcome to the Metro Exhibits website located at metroexhibits.com (the “Site”), owned and operated by Metro Exhibits, LLC, a New Jersey limited liability company (“Metro Exhibits,” “Company,” “we,” “us,” or “our”). These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Metro Exhibits governing your access to and use of this Site.
By accessing, browsing, or using this Site in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must immediately discontinue use of this Site.
You represent and warrant that you are at least eighteen (18) years of age and have the legal capacity to enter into binding agreements. If you are accessing this Site on behalf of a business entity, you represent and warrant that you have the authority to bind that entity to these Terms, and all references to “you” shall include that entity.
Your continued use of the Site following the posting of any changes to these Terms constitutes acceptance of those changes.
2. Description of Website and Services
The Site serves as an informational resource and lead-generation platform for Metro Exhibits’ trade show and exhibit services, which include but are not limited to exhibit design, custom fabrication, exhibit rental, installation and dismantling (I&D), graphic production, show management, and logistics coordination.
Through the Site, you may:
- Browse information about Metro Exhibits’ service offerings, capabilities, and past projects
- View portfolio galleries, case studies, renderings, and design examples
- Submit quote requests, contact forms, or requests for proposals (RFPs)
- Access general industry resources, blog content, or educational materials
- Communicate with Metro Exhibits representatives via forms, email, chat, or other communication tools
The Site is intended to provide general information about our services and to facilitate initial contact and communication between prospective clients and Metro Exhibits. The Site does not itself constitute the delivery of any exhibit design, fabrication, rental, or related services. All actual project services are governed exclusively by separate written agreements as described in Section 3 below.
3. Relationship to Separate Service Agreements
These Terms govern solely your use of this Site. Any exhibit design, fabrication, rental, installation, logistics, or other professional services provided by Metro Exhibits are governed exclusively by separate, individually negotiated service agreements, including but not limited to signed proposals, contracts, statements of work (SOWs), purchase orders, rental agreements, and/or master service agreements (collectively, “Service Agreements”).
In the event of any conflict or inconsistency between these Terms and any executed Service Agreement, the terms of the applicable Service Agreement shall control with respect to the services described therein. These Terms shall continue to govern your use of this Site regardless of whether you have entered into a Service Agreement with Metro Exhibits.
Nothing on this Site or in these Terms shall be construed as creating any obligation on the part of Metro Exhibits to enter into a Service Agreement, to provide services, or to accept any project or engagement.
4. Account Registration and Client Portal
If the Site offers account registration or access to a client portal, the following terms apply:
- You are responsible for providing accurate, current, and complete registration information and for maintaining and updating such information
- You are solely responsible for safeguarding your login credentials and for all activity that occurs under your account.
- You agree to notify Metro Exhibits immediately of any unauthorized access to or use of your account.
- Metro Exhibits reserves the right to suspend or terminate your account at any time, with or without cause or notice, including for any violation of these Terms.
You may not share, transfer, or assign your account credentials to any third party without prior written consent from Metro Exhibits.
5. Acceptable Use and Prohibited Conduct
You agree to use the Site only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the Site in any way that violates any applicable federal, state, local, or international law or regulation
- Impersonate or attempt to impersonate Metro Exhibits, a Metro Exhibits employee, another user, or any other person or entity
- Engage in any conduct that restricts or inhibits anyone’s use or enjoyment of the Site, or that may harm Metro Exhibits or users of the Site
- Use the Site to transmit any advertising, promotional material, spam, junk mail, chain letters, or any other form of unsolicited solicitation
- Introduce any viruses, trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful
- Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Site, the server on which the Site is stored, or any server, computer, or database connected to the Site
- Use any robot, spider, scraper, or other automated means to access the Site for any purpose without our express written permission
- Attempt to reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code of any software or technology used on the Site
- Use the Site to collect or harvest personal information about other users
- Submit false, misleading, or fraudulent quote requests, RFPs, or project information
- Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Site or access to the Site without our express written permission
- Use any information obtained from the Site to contact, advertise to, solicit, or sell to any Metro Exhibits employee, contractor, or client without our prior written consent
Metro Exhibits reserves the right to take any action we deem appropriate in response to violations of these Terms, including but not limited to terminating your access to the Site, refusing to process your inquiries, and pursuing legal remedies.
6. Intellectual Property Rights
6.1 Ownership
The Site and its entire contents, features, and functionality — including but not limited to all text, graphics, logos, icons, images, audio clips, video clips, data compilations, software, photographs, exhibit designs, renderings, 3D models, floor plans, booth layouts, design concepts, portfolio images, case studies, trade dress, and the overall look and feel of the Site — are owned by Metro Exhibits, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
6.2 Trademarks
The Metro Exhibits name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Metro Exhibits or its affiliates or licensors. You may not use such marks without the prior written permission of Metro Exhibits. All other names, logos, product and service names, designs, and slogans on this Site are the trademarks of their respective owners.
6.3 Limited License
Subject to your compliance with these Terms, Metro Exhibits grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Site for your personal, non-commercial informational purposes, or for the limited commercial purpose of evaluating Metro Exhibits’ services for a potential business engagement. This license does not include:
- Any resale or commercial use of the Site or its contents
- Any collection or use of product listings, descriptions, images, or designs
- Any derivative use of the Site or its contents
- Any downloading, copying, or other use of account information for the benefit of any third party
- Any use of data mining, robots, or similar data gathering and extraction tools
6.4 Restrictions on Design and Portfolio Content
The exhibit designs, renderings, 3D visualizations, floor plans, creative concepts, and portfolio images displayed on this Site represent proprietary creative work product of Metro Exhibits. You may not, without our express prior written consent:
- Copy, reproduce, download, or store any design, rendering, or portfolio image for any purpose other than personal reference in evaluating our services
- Distribute, publish, transmit, or make available any design or portfolio content to any third party
- Use any design, rendering, or creative concept as a basis for derivative works or to instruct or brief any competitor or third-party vendor
- Remove, alter, or obscure any copyright, trademark, or other proprietary notices
- Present any Metro Exhibits design or creative work as your own or as the work of any other party
- All rights not expressly granted herein are reserved by Metro Exhibits.
6.5 Copyright Complaints
Metro Exhibits respects the intellectual property rights of others and expects users to do the same. If you believe that content on the Site infringes a copyright you own or control, please send a written copyright complaint to metroinfo@metroexhibits.com identifying the copyrighted work, the material you believe is infringing and information reasonably sufficient to locate it on the Site, your contact information, and the basis for your good-faith belief that the disputed use is not authorized. Metro Exhibits may request additional information reasonably necessary to evaluate the complaint and may remove or disable access to material that it reasonably believes infringes third-party rights.
7. User Submissions and Content
7.1 Submissions
In the course of using the Site, you may submit or transmit information, documents, or materials to Metro Exhibits, including but not limited to RFP documents, project briefs, floor plans, specifications, brand guidelines, images, files, messages, feedback, suggestions, and other communications (collectively, “User Submissions”).
7.2 License Grant
By submitting User Submissions to Metro Exhibits through the Site, you grant Metro Exhibits a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, and display such User Submissions solely for the purposes of: (a) responding to your inquiry or request; (b) preparing and delivering quotes, proposals, or presentations; (c) providing services under any applicable Service Agreement; and (d) Metro Exhibits’ internal business purposes, including improving our services.
7.3 User Representations
You represent and warrant that:
- You own or otherwise control all rights to any User Submissions you provide
- Your User Submissions do not violate any third party’s intellectual property rights, privacy rights, publicity rights, or any other rights
- Your User Submissions are accurate and not misleading
- Your User Submissions do not violate any applicable law, regulation, or these Terms
- You have obtained all necessary authorizations, consents, and releases to provide such User Submissions to Metro Exhibits
- Your User Submissions do not violate any applicable law, regulation, or these Terms
- You have obtained all necessary authorizations, consents, and releases to provide such User Submissions to Metro Exhibits
You acknowledge that Metro Exhibits is not obligated to maintain the confidentiality of User Submissions unless a separate written confidentiality or non-disclosure agreement has been executed between the parties.
8. Quotes, Proposals, and No-Offer Disclaimer
Any pricing, service descriptions, timelines, specifications, or other information presented on this Site is provided for general informational purposes only and does not constitute a binding offer, contract, or commitment by Metro Exhibits. Specifically:
- No information on this Site constitutes an offer to sell, lease, or provide any goods or services at any stated price or under any stated terms
- All pricing and project estimates are subject to change without notice and require formal written confirmation from an authorized Metro Exhibits representative
- Any quote, estimate, or proposal provided in response to a Site inquiry remains subject to Metro Exhibits’ review and acceptance, including verification of project scope, timeline, specifications, and availability
- Metro Exhibits reserves the right to decline any project or engagement for any reason or no reason
- A binding agreement for services exists only when a formal Service Agreement has been executed by authorized representatives of both parties
- Portfolio images, project examples, and design galleries are illustrative only and do not guarantee specific results, designs, or outcomes for your project
9. Third-Party Links and Content
The Site may contain links to third-party websites, services, resources, or content that are not owned or controlled by Metro Exhibits, including but not limited to exhibition venue websites, industry association pages, vendor resources, show management platforms, and social media platforms.
Metro Exhibits has no control over, and assumes no responsibility for, the content, privacy policies, practices, availability, or opinions expressed on any third-party websites or resources. Links to third-party sites are provided solely as a convenience and do not constitute endorsement, sponsorship, or recommendation by Metro Exhibits of the linked site or its content.
You acknowledge and agree that Metro Exhibits shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any content, goods, or services available on or through any third-party website or

THE SITE AND ALL CONTENT, MATERIALS, INFORMATION, SERVICES, AND PRODUCTS AVAILABLE THROUGH THE SITE ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, METRO EXHIBITS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT
- WARRANTIES ARISING FROM COURSE OF DEALING, USAGE, OR TRADE PRACTICE
- ANY WARRANTY THAT THE SITE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE
- ANY WARRANTY REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT ON THE SITE
- ANY WARRANTY THAT DEFECTS WILL BE CORRECTED

Metro Exhibits does not warrant or make any representations regarding the use or the results of the use of the content on the Site in terms of its correctness, accuracy, timeliness, reliability, or otherwise. No advice or information, whether oral or written, obtained by you from Metro Exhibits or through the Site shall create any warranty not expressly stated in these Terms.
Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusions may not apply to you. In such jurisdictions, Metro Exhibits’ liability is limited to the maximum extent permitted by law.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL METRO EXHIBITS, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, ASSIGNS, LICENSORS, SERVICE PROVIDERS, OR SUPPLIERS BE LIABLE FOR ANY:
- INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES
- LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES
- COST OF SUBSTITUTE GOODS OR SERVICES
- DAMAGES ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITE
- DAMAGES ARISING FROM ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SITE
- DAMAGES ARISING FROM UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT
WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, WHETHER OR NOT METRO EXHIBITS HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.
IN NO EVENT SHALL METRO EXHIBITS’ TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE EXCEED THE GREATER OF: (A) ONE HUNDRED DOLLARS ($100.00 USD); OR (B) THE AMOUNT YOU HAVE PAID TO METRO EXHIBITS IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
THE LIMITATIONS OF THIS SECTION SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW IN THE APPLICABLE JURISDICTION AND SHALL SURVIVE TERMINATION OF THESE TERMS.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some or all of the above limitations may not apply to you. In such jurisdictions, Metro Exhibits’ liability shall be limited to the greatest extent permitted by applicable law.
12. Indemnification
You agree to defend, indemnify, and hold harmless Metro Exhibits, its parent company, subsidiaries, affiliates, officers, directors, employees, agents, licensors, contractors, and suppliers from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to reasonable attorneys’ fees and costs) arising from or related to:
- Your use of and access to the Site
- Your violation of any provision of these Terms
- Your violation of any third-party right, including without limitation any intellectual property right, property right, or privacy right
- Any User Submissions you provide through the Site
- Any claim that your User Submissions caused damage to a third party
- Your violation of any applicable law, rule, or regulation
This defense and indemnification obligation shall survive the termination of these Terms and your use of the Site. Metro Exhibits reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with Metro Exhibits in asserting any available defenses.
13. Privacy
Your use of the Site is also governed by our Privacy Policy, which is available at metroexhibits.com/privacy-policy and is incorporated into these Terms by reference. Please review the Privacy Policy carefully for information regarding our collection, use, storage, and disclosure of your personal information.
By using the Site and submitting information through forms, chat features, or other communication channels, you consent to the collection and use of your information as described in the Privacy Policy.
14. Electronic Communications and Consent
By using the Site or contacting Metro Exhibits through the Site, you consent to receive electronic communications from us, including but not limited to emails, text messages (if you provide a mobile number), and notices posted on the Site.
You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing. You agree that Metro Exhibits may communicate with you by email or by posting notices on the Site, and you agree to check the Site periodically for notices.
If you submit a quote request or contact form, you consent to being contacted by Metro Exhibits representatives regarding your inquiry via the contact methods you provide. You may opt out of marketing communications at any time by following the unsubscribe instructions in any marketing email or by contacting us at privacy@metroexhibits.com.
If you provide a mobile telephone number and opt in to receive text messages, you consent to receive recurring informational and, where you have separately opted in, marketing text messages from or on behalf of Metro Exhibits at that number, including messages sent using automated technology. Consent to receive marketing text messages is not a condition of purchasing any goods or services. Message and data rates may apply, and message frequency varies.
You may opt out of text messages at any time by replying STOP to any message or by contacting us at privacy@metroexhibits.com, and you may reply HELP for assistance. We may send a message confirming your opt-out. You are responsible for notifying us if you change or deactivate the mobile number you provided.

15. Governing Law, Venue, and Dispute Resolution
15.1 Governing Law
These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the State of New Jersey, without giving effect to any choice or conflict of law provision or rule.
15.2 Venue
Any legal suit, action, or proceeding arising out of or related to these Terms or the Site shall be instituted exclusively in the federal courts of the United States or the courts of the State of New Jersey, in each case located in Morris County, New Jersey. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.
15.3 Dispute Resolution
Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall first be subject to good-faith negotiation between the parties for a period of thirty (30) days following written notice of the dispute. If the dispute is not resolved through negotiation, either party may pursue resolution through the courts as specified in Section 15.2 above.
15.4 Binding Arbitration
Any dispute not resolved through good-faith negotiation shall be resolved exclusively through binding arbitration administered by the American Arbitration Association (“AAA”) in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Morristown, New Jersey. The arbitrator’s decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
15.5 Class Action Waiver
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND METRO EXHIBITS EACH WAIVE THE RIGHT TO A TRIAL BY JURY AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR OTHER REPRESENTATIVE PROCEEDING OF ANY KIND. ANY CLAIMS MUST BE BROUGHT IN THE PARTIES’ INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING.
16. Changes to Terms
Metro Exhibits reserves the right, in its sole discretion, to modify, amend, or replace these Terms at any time. If a revision is material, we will provide at least thirty (30) days’ notice prior to any
new terms taking effect by posting the updated Terms on the Site with a revised “Last Updated” date. What constitutes a material change will be determined at our sole discretion.
Your continued use of the Site following the posting of revised Terms means that you accept and agree to the changes. You are expected to check this page periodically so you are aware of any changes, as they are binding on you. If you do not agree to the new Terms, you must stop using the Site.
17. Termination
Metro Exhibits may terminate or suspend your access to the Site, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Site will immediately cease.
All provisions of these Terms which by their nature should survive termination shall survive termination, including without limitation: intellectual property provisions, warranty disclaimers, indemnification obligations, limitations of liability, and dispute resolution provisions.
Termination of your access to the Site shall not affect any rights or obligations arising under any executed Service Agreement between you and Metro Exhibits, which shall be governed by its own termination provisions.
18. General Provisions
18.1 Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such invalidity, illegality, or unenforceability shall not affect any other provision of these Terms. The remaining provisions shall continue in full force and effect, and the invalid or unenforceable provision shall be deemed modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving its original intent.
18.2 Entire Agreement
These Terms, together with the Privacy Policy and any other legal notices or policies published by Metro Exhibits on the Site, constitute the entire agreement between you and Metro Exhibits regarding your use of the Site. These Terms supersede all prior or contemporaneous communications, proposals, and agreements, whether electronic, oral, or written, between you and Metro Exhibits with respect to the Site. For the avoidance of doubt, these Terms do not supersede or replace any executed Service Agreement between you and Metro Exhibits.
18.3 Assignment
You may not assign, delegate, or transfer these Terms or any rights or obligations hereunder, in whole or in part, without the prior written consent of Metro Exhibits. Metro Exhibits may assign these Terms, in whole or in part, at any time without notice or consent, including in connection
with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets. Subject to the foregoing, these Terms shall bind and inure to the benefit of the parties and their respective successors and permitted assigns.
18.4 Waiver
No waiver by Metro Exhibits of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure of Metro Exhibits to assert a right or provision under these Terms shall not constitute a waiver of such right or provision. No waiver shall be effective unless made in writing and signed by an authorized representative of Metro Exhibits.
18.5 Force Majeure
Metro Exhibits shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond Metro Exhibits’ reasonable control, including but not limited to: acts of God, natural disasters, pandemic, epidemic, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, labor disputes, shortages of transportation, facilities, fuel, energy, labor, or materials, failure of telecommunications or information systems infrastructure, hacking, internet disruption, or government action.
18.6 Notices
Except as otherwise provided in these Terms, any notice to Metro Exhibits must be in writing and sent to Metro Exhibits, LLC, 15 Riverside Drive, Pine Brook, New Jersey 07058, or to metroinfo@metroexhibits.com. We may provide notice to you by email to any address you provide, by posting on the Site, or by other reasonable means. Notice is deemed given upon receipt or, if posted on the Site, upon posting.
18.7 No Third-Party Beneficiaries
These Terms are for the sole benefit of you and Metro Exhibits and, where applicable, the parties entitled to indemnification under Section 12. Nothing in these Terms, express or implied, is intended to or shall confer upon any other person or entity any legal or equitable right, benefit, or remedy of any nature.
18.8 Headings and Interpretation
Section headings are for convenience of reference only and do not affect the interpretation of these Terms. As used in these Terms, “including” means “including without limitation.” These Terms shall not be construed against either party by reason of that party having drafted them.
